This Platform Terms of Service and Subscription Tier Agreement (the "Agreement") is entered into by and between Restore Partner Pro ("Company," "we," "us," or "our") and the entity or individual accessing or using the Service ("Subscriber," "you," or "your"). By subscribing to our services or accessing the Restore Partner Pro platform (the "Platform"), you agree to be bound by the terms and conditions set forth herein.
1. Services Overview
Restore Partner Pro provides a B2B referral management platform designed to connect restoration companies (e.g., water, fire, mold, asbestos, biohazard, and lead remediation) with trade professionals (e.g., plumbers, HVAC technicians) who act as "Referrers." The Platform facilitates lead submission, tracking, payment processing, and administrative management of referral partnerships.
2. Subscription Tiers
Subscriber agrees to enroll in a subscription tier offered by the Company. The specific tier selected at the time of registration or upgrade determines the features, usage limits, and pricing applicable to the Subscriber’s account.
Placeholder: The Company will publish and maintain a current list of subscription tiers, features, pricing, and limitations (including any lead volume limits, numbers of referral partnerships, user seats, support levels, and add-ons). To the extent there is any conflict between marketing materials and these Terms, these Terms (as updated from time to time) control.
Note: Specific tier names, included features (including any accounting integrations), and limits will be inserted here once management provides final specifications.
3. Accounting Integrations
The Platform may allow Subscribers to connect one or more third-party accounting platforms (including QuickBooks®) to enable synchronization of certain financial and operational data (the "Accounting Integration").
- Authorization and Permissions: By enabling an Accounting Integration, Subscriber authorizes the Company to access, read, and (where enabled) write data to Subscriber’s connected accounting account solely to provide the requested synchronization and related reporting features.
- Scope of Sync (Placeholder): The Company may sync certain data fields, which may include referral payouts, invoices, payments, vendor/customer records, and tax-related documentation. The exact scope, directionality (read-only vs. read/write), supported objects, and frequency of sync will be specified in applicable integration documentation and may vary by subscription tier and configuration.
- Subscriber Responsibility for Review: Subscriber is solely responsible for reviewing all synced transactions and records for accuracy and for ensuring compliance with applicable accounting practices and tax laws. Company does not provide tax, accounting, or legal advice.
- Security and Credentials: Subscriber represents that it has authority to connect the accounting account and will safeguard its credentials. Company may store access tokens or similar credentials as necessary to maintain the connection, subject to the Data Security and Privacy section of this Agreement.
- Integration Availability; Changes: Integrations are provided on an "as available" basis and may be modified, suspended, or discontinued. Sync delays, duplications, or errors may occur due to third-party systems or connectivity issues.
- Third-Party Terms: Use of any Accounting Integration is subject to the third party’s terms and conditions (including Intuit’s terms for QuickBooks). Subscriber’s relationship with the third party is independent of the Company.
4. Referrals, Fees, and Payments
- Qualified Referrals: A "Qualified Referral" is defined as a lead submitted through the Platform that results in a signed contract for restoration services.
- Lead Submission and Routing: Referrers may submit leads through the Platform. The Company may route, present, or distribute leads to participating restoration companies based on availability, service area, performance history, Subscriber settings, and other factors determined by the Platform.
- Acceptance, Rejection, and Resubmission: Restoration companies may accept or reject leads. If a restoration company rejects a lead, the Platform may automatically or manually allow the Referrer to resubmit that lead to another participating restoration company within the network to maximize lead conversion.
- Subscriber Cooperation: Subscribers agree to provide timely and accurate information regarding lead status (including whether a lead is accepted, scheduled, contracted, canceled, or completed) as reasonably requested through the Platform.
- Referral Fees and Lead Payouts: Restoration companies agree to pay the designated referral fee through the Platform upon the successful closing of a lead, unless otherwise specified in a separate written arrangement within the Platform.
- Subscription Fees: Fees are billed monthly or annually in advance and are non-refundable except as required by law or expressly stated in writing by the Company.
- Payment Processing: The Company may use third-party payment processors. Subscriber authorizes the Company and its payment processors to charge the payment method on file for subscription fees and to process lead payout transactions as directed through the Platform.
- Taxes; 1099 Compliance: For applicable tiers, Restore Partner Pro may facilitate collection of W-9 forms and the issuance of 1099-NEC forms to Referrers. However, each Subscriber remains solely responsible for its own tax obligations and for ensuring compliance with applicable tax reporting requirements.
- Active Subscribers (Incentives/Eligibility): To maintain certain platform incentives, a Subscriber may be required to maintain "Active" status, defined as submitting or receiving at least five (5) qualified referrals per calendar month.
5. Data Security and Privacy
- Privacy Practices: Subscriber acknowledges that the Company’s collection, use, and disclosure of information related to the Platform is governed by the Company’s privacy practices and any posted privacy policy, as updated from time to time.
- Privacy Policy Incorporated; Privacy Rights Requests. Information about how Restore Partner Pro collects, uses, and shares personal information, and how an individual may submit a request to access, correct, delete, or obtain a copy of their personal information, or to opt out, is set out in the Privacy Policy, which is incorporated by reference into these Terms. Privacy rights requests may be submitted by emailing Info@RestorePartnerPro.com. Restore Partner Pro will respond to a verified request within forty-five (45) days. A requester may appeal a denied request by replying to Restore Partner Pro’s decision, and Restore Partner Pro will review and decide the appeal within ten (10) business days.
- Security Measures: The Company will implement reasonable administrative, technical, and physical safeguards designed to protect Platform data against unauthorized access, disclosure, alteration, or destruction. However, no system can be guaranteed to be 100% secure.
- Subscriber Responsibilities: Subscriber is responsible for maintaining the confidentiality of its login credentials, restricting account access to authorized users, and promptly notifying the Company of any suspected unauthorized access or security incident related to Subscriber’s account.
- Data Usage: Subscriber retains ownership of its specific customer data but grants the Company a license to host, process, transmit, and display such data as necessary to provide the Platform. The Company may use de-identified, aggregated data for platform improvement and industry benchmarking.
- Third-Party Services: Certain features may rely on third-party services (including payment processors and accounting integrations). The Company is not responsible for third-party systems outside its control, and use of third-party services may be subject to separate terms and privacy practices.
6. Intellectual Property
The Platform, including all software, algorithms, and workflows, is the sole property of Restore Partner Pro. Subscriber is granted a limited, non-exclusive, non-transferable license to use the Platform during the term of their subscription.
7. Limitation of Liability; Content, Reviews, and Consent
Restore Partner Pro acts as a facilitator and does not guarantee the quality of work performed by restoration companies or the validity of leads submitted by referrers. IN NO EVENT SHALL RESTORE PARTNER PRO BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING OUT OF THE USE OF THE PLATFORM OR ANY INTEGRATION OR THIRD-PARTY SERVICE.
7.1 Submitting Content; Reviews and Ratings. The Platform may permit Subscribers and other users to submit, post, transmit, or otherwise make available content, including reviews, ratings, comments, and other materials (collectively, "Content").
7.2 Prohibited Fake or False Reviews/Testimonials. You may not create, generate, procure, buy, sell, disseminate, or otherwise traffic in any fake, false, or misleading review, rating, or testimonial, including any review, rating, or testimonial that is not based on a genuine experience or that misrepresents the author’s actual experience.
7.3 Relationship Disclosures for RPP Personnel and Affiliates. If any officer, manager, owner, employee, contractor, or agent of Restore Partner Pro (and any of their immediate family members) submits any review, rating, or testimonial about Restore Partner Pro, the Platform, or any Subscriber, such person must clearly and conspicuously disclose their relationship to Restore Partner Pro.
7.4 No Sentiment-Conditioned Compensation. You may not offer, provide, request, or accept compensation or other consideration for a review, rating, or testimonial that is conditioned on the review’s sentiment (positive or negative) or otherwise results in a biased or misleading representation.
7.5 TCPA/Consent at Point of Collection; Reliance; Revocation. To the extent any Content, lead submission, or referral submission includes a consumer’s contact information (including phone number or email), the contractor or referring service professional who collects the consumer’s information represents and warrants that they have obtained the consumer’s prior express written consent to be contacted — including by calls, text messages, and email, including through automated means — and to have that information shared with Restore Partner Pro and with restoration and other service providers on the Platform so the consumer may be contacted about services. Restore Partner Pro relies on that consent and acts as a mere conduit for transmitting the consumer’s request. The consumer may revoke consent at any time by opting out through any provided opt-out mechanism or by contacting Restore Partner Pro.
7.6 Review/Rating Integrity; No Suppression Based on Negative Sentiment. Restore Partner Pro does not suppress reviews based on negative sentiment or low ratings and does not misrepresent that the displayed reviews represent all or substantially all reviews submitted.
7.7 Permitted Moderation; Prohibited Suppression. Restore Partner Pro may remove, refuse to publish, or otherwise moderate Content (including reviews and ratings) only where such Content (a) violates these Terms, (b) is unlawful, or (c) is fake, fraudulent, deceptive, or not based on a genuine experience. Restore Partner Pro will not remove or refuse to publish reviews solely because they are negative or reflect a low rating.
7.8 Reservation of Rights. Restore Partner Pro may, in its sole discretion, choose to remove or not to remove reviews and ratings once published in accordance with Section 7.7.
8. Term and Termination
This Agreement remains in effect until the subscription is canceled by either party.
- Cancellation by Subscriber: Subscriber may cancel its subscription in accordance with the cancellation functionality within the Platform (if available) or by providing written notice to the Company.
- Company Termination/Suspension: The Company may suspend or terminate access to the Platform for material breach, suspected fraud, security concerns, non-payment, or misuse of the Platform, subject to applicable law and any cure period required by a separate written agreement.
- Notice; Effective Date: Unless otherwise stated in writing, termination requires thirty (30) days' written notice.
- Effect of Termination: Upon termination, Subscriber’s access to the Platform and any integrations (including any QuickBooks integration) may be disabled, and access to historical lead data may be restricted or made available for export at the Company’s discretion, subject to legal retention requirements and the Company’s then-current policies.
- Fees Owed: Subscriber remains responsible for charges incurred through the effective date of termination, including any unpaid subscription fees or lead payout obligations.
- Content Moderation (Including Reviews/Ratings). RPP reserves the right to review and delete any Content that, in its sole judgment, violates the terms and conditions of this Agreement, is unlawful, or is fake/fraudulent/deceptive. RPP does not remove or refuse to publish reviews solely because they are negative or reflect a low rating, and RPP does not misrepresent that displayed reviews represent all or substantially all reviews submitted.
9. Modifications to These Terms
Company reserves the right to modify these terms, including pricing and tier features, at any time. Continued use of the Platform following such modifications constitutes acceptance of the updated terms.
